This indenture made this 24th day of September 1892 between Horace Jackett residing in the town of Mansfield, Cattaraugus County, State of New York, and engaged as a farmer at said place, part of the first part,; and Solam S. Laing of Salamanca, New York of the second part, Witnesseth: That wheras the party of the first part is indebted to diverse persons in sundry sums of money which he is unable to pay in full and is desirious of providing for the payment of the same so far as he is able by an assignment of all his property for that purpose.
Now therefore, the said party of the first part in consideration of the promised and of the sum of one dollar to him paid by the party of the second part, the receipt whereof is hereby acknowledged, has granted, bargained, sold, assigned, transferred and set over and by these presents does grant, bargain, sell, assign, transfer and set over onto the party of the second part, his successors, and assigns, all and singular, the lands, tenants, here or tenents, appurtenances, goods, chattels, stock, claims, demands, property and effects of every description, belonging to the party of the first part wherever the same may be situated (Except such property as is exempt by law from levy and sale under an execution. To have and to hold the same onto the party of the second part, his successors and assigns. In trust nevertheless to take possession of and to sell the same with all reasonable dispatch and to convert the same into money and also to collect all such debts and demands hereby assigned as may be collected, and with and out of the proceeds thereof.
First._ To pay and discharge all the just and reasonable expense, cost and charges of executing this trust and of carrying the same into effect together with the lawful commission of the party of the second part for his services in executing said trust.
Second._ To pay the wages or salaries actually owing to the employees of the Assignor at the time of the execution of this assignment in full and should the assets of the Assignor not be sufficient to pay in full all said claims, then the assets shall be applied to the payment of the same pro rata to the amount of each said claims.
Third._ Out of the residue of the moneys aforesaid, if any there be, to pay in full to Hudson Aneley of Salamanca, New York the sum of three hundred dollars, as Attorney fees owing and belonging to him for service as such. Also to pay to the Cattaraugus Bank at Cattaraugus New York the sum of fifty five dollars the same being the payment of a note made by the Assignor, and now held and owned by the said Bank, with all lawful interest thereon. Also to pay in full to the Bank of Ellicottville, at Ellicottville NY the sum of eighty dollars, besides the interest thereon, the same being due and owing to said Bank for money heretofore borrowed by the party of the first part, which indebedness is specified by a note held by the said bank, Also to pay in full to the said Bank of Ellicottville fifty six dollars, besides the interest thereon, the sum being for money heretofore borrowed of the said bank, all of which indebtedness to the said bank is specified by notes held by the said bank. Also to pay to Lafayette Rogers in full the sum of thirty-eight dollars besides interest the sum being due to him for money heretofore borrowed from the said Lafayette Rogers by this party of the first part which indebtedness is specified by a note held by the said Lafayette Rogers who resides in the town of Mansfield, NY.
Fourth._ Out of the residue of the moneys aforesaid if any there be, to pay in full to Theopolis Bateford of the Town of Mansfield, in said County of Cattaraugus the amount of a certain indebetedness now due and owing to him for a quantity of hay purchased of the sail Bateford by the party of the first part in the spring of 1892 being the sum of fifty five dollars and interest thereon from the date of said purchase. Nothing herein before provided shall be construed to authorize or direct the Assignee to pay any larger or greater sum than the one third provided by statute to be paid to preferred creditors.
Fifth._ After the payments herinbefore specified, to pay and discharge in full, if the residue of said proceeds is sufficient for that purpose all the debt and liabilities now due or to grow due from the said party of the first part with interest thereon and if the residue of said proceeds shall not be sufficient to pay for the said debts and liabilities and interest in full then to apply the said residue of said proceeds to the payment of said debts and liabilities rata dlg? and in proportion.After the payment of all the said debts and liabilities in full, if there shall be any remainder or residue of said property or proceeds to repay and return the same to the said party of the first part, his executors, administrators or assignors. And the said party of the first part does hereby make constitute and appoint the said party of the second part his true and lawful attorney irrevocable with full power and authority to do all acts and things which may be necessary in the premises to the full execution of the trust hereby created and to demand, recover and receive of and from all every person or persons all property, debts, and demands due and owing to the said party of the first part and to give discharge for the same to sue, prosecute, defend and implead for the same and execute acknowledge and deliver all necessary deeds, instruments and conveyance. And the said party of the first part hereby authorizes the said party of the second part to sign the name of the said party of the first part to any instrument in writing whenever it shall be necessary so to do to carry into effect the object, design, and purpose of this trust. And the said party of the second part does hereby accept the trust created and reposed in him by this instrument and covrnants and agrees to and with the said party of the first part that he will faithfully and without delay execute the said trust according to the best of his skill, knowledge, and ability.
